01 Acceptance of Terms

By using this website or engaging in any commercial transaction with Patel And Sons Food And Beverage, you confirm that you are:

  • At least 18 years of age and legally capable of entering into binding contracts.
  • Representing a registered business entity, or acting in a personal commercial capacity.
  • Agreeing to these Terms & Conditions, our Privacy Policy, and our Shipping Policy.

If you do not agree to these terms, please discontinue use of our website and services immediately.

02 Our Services

Patel And Sons Food And Beverage provides B2B export services for agricultural and food products including but not limited to:

  • Premium Assam and Darjeeling teas (CTC, green, herbal)
  • Spices (turmeric, cumin, coriander, chilli, and others)
  • Basmati and non-basmati rice
  • Fresh fruits and vegetables
  • Honey and other natural food products

All products are subject to availability, seasonal supply conditions, and export regulations in force at the time of order. We reserve the right to discontinue or modify any product offering without prior notice.

03 Orders & Contracts

  • An order is only confirmed upon mutual execution of a Pro-Forma Invoice (PI) or Sales Contract signed by both parties.
  • Verbal or email-only orders do not constitute a binding contract until confirmed in writing.
  • We reserve the right to decline any order at our sole discretion, including but not limited to cases of pricing error, stock unavailability, or compliance concerns.
  • Minimum Order Quantities (MOQ) apply and are specified per product. Orders below MOQ may be accepted at our discretion and may attract a surcharge.
  • Sample orders are available; costs are borne by the buyer unless otherwise agreed.

04 Pricing & Payment

  • All prices are quoted in USD unless otherwise stated in the Pro-Forma Invoice.
  • Prices are valid for 7 days from the date of quotation unless otherwise specified, subject to commodity market fluctuations.
  • Standard payment terms: 30–50% advance with the balance payable before shipment, unless a Letter of Credit (LC) arrangement is agreed.
  • Accepted payment methods: Bank Wire Transfer (SWIFT/TT), Letter of Credit (LC at sight), and other methods as mutually agreed.
  • All bank charges outside India are to the buyer's account.
  • Prices do not include destination country import duties, taxes, or customs fees.

05 Cancellation & Amendments

  • Orders may be cancelled or amended only before production/processing has commenced.
  • Cancellations after processing has begun may result in forfeiture of the advance payment.
  • Any amendments to confirmed orders (quantity, specification, destination) must be agreed in writing and may affect pricing and lead time.
  • We reserve the right to cancel orders due to circumstances beyond our control (crop failure, government export restrictions, force majeure).

06 Quality & Specifications

  • All products are inspected and meet the quality specifications agreed upon in the Pro-Forma Invoice.
  • Third-party pre-shipment inspection (e.g. SGS, Intertek) can be arranged at the buyer's cost.
  • Minor natural variations in colour, aroma, or moisture content inherent to agricultural products do not constitute a defect.
  • Quality claims must be raised within 7 days of delivery (48 hours for perishables) with supporting laboratory analysis and photographic evidence.
  • Accepted claims will be resolved by replacement, credit note, or price adjustment at our discretion.

07 Intellectual Property

  • All content on this website — including text, images, logos, design, and code — is the property of Patel And Sons Food And Beverage or its licensors and is protected by copyright.
  • You may not reproduce, distribute, or use any website content without our prior written consent.
  • The Patel And Sons Food And Beverage name, logo, and brand marks are trademarks and may not be used without express written permission.
  • Product images are for illustrative purposes and may not exactly represent the delivered goods.

08 Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability arising from any order or transaction shall not exceed the value of that specific order.
  • We are not liable for indirect, consequential, or incidental losses including loss of profit, loss of business, or market loss.
  • We are not liable for delays or failures caused by third-party carriers, customs authorities, or events beyond our reasonable control.
  • We make no warranties, express or implied, regarding the suitability of products for any particular purpose beyond what is stated in agreed specifications.

09 Force Majeure

Neither party shall be held liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:

  • Natural disasters, floods, drought, or crop failure
  • Government restrictions, export bans, or trade embargoes
  • Pandemic, epidemic, or public health emergencies
  • Port closures, shipping strikes, or logistics disruptions
  • Acts of war, civil unrest, or terrorism

The affected party must notify the other in writing within 5 business days of the force majeure event. Both parties will make best efforts to resume performance as soon as practicable.

10 Website Use

  • This website is provided for informational and B2B commercial purposes only.
  • You agree not to use the website for any unlawful purpose, to transmit harmful content, or to attempt unauthorised access to our systems.
  • We reserve the right to modify, suspend, or discontinue the website at any time without notice.
  • We do not warrant that the website will be uninterrupted, error-free, or free of viruses.

11 Governing Law & Dispute Resolution

  • These Terms are governed by the laws of India, specifically the Indian Contract Act, 1872, and applicable export-import regulations.
  • Any disputes arising from these Terms or a commercial transaction shall first be attempted to be resolved amicably through negotiation within 30 days.
  • If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Guwahati, Assam.
  • The courts of Guwahati, Assam shall have exclusive jurisdiction for any legal proceedings.
